Role Purpose

The Counsel, Legal Affairs will draft and negotiate television entertainment agreements, with a focus on television and digital media licenses for both the Universal Television studio and NBC broadcast network.
This position will report to the Vice President, Legal Affairs and work with legal, business and creative executives to negotiate and draft agreements, as well as providing guidance, legal advice and production support.

Responsibilities include:

  • Draft, review, negotiate and interpret contracts and other documentation in connection with television programming, with a primary focus on co-production and license agreements (both for broadcast and other programming services, e.g., pay cable networks, basic cable networks, and digital platforms); but also including agreements such as development and rights acquisition agreements, on-camera talent agreements, writer, producer and director agreements, term agreements, digital rights agreements and production services agreements.
  • Provide timely and thoughtful legal advice on legal issues (such as intellectual property, contract, rights, clearance, and regulatory issues), evaluate potential risk, and propose practical, responsive solutions.
  • Handle production related issues, including content and script review.
  • Partner with business executives, as well as colleagues in the Law Department, to discuss and implement best practices and formulate new processes in connection with business needs.
  • Create and update forms.
  • Work with colleagues in the Law Department on special projects with long-term business implications.
  • Other matters and related duties at the direction of the SVPs and/or VPs, Legal Affairs.

Qualifications/Requirements

Basic Qualifications

  • Member of California bar, or willingness and qualification to be Registered In-House Counsel.
  • A minimum of five years of corporate, intellectual property or entertainment transactions experience, either in a law firm or comparable corporate setting.

Eligibility Requirements

  • Must be willing to work in Universal City, CA.
  • Must have unrestricted work authorization to work in the United States.

Desired Characteristics

  • Demonstrated experience drafting and negotiating complex transactional agreements is highly preferred; prior entertainment licensing experience is a plus, but not required.
  • Outstanding academic credentials.
  • Highly motivated, highly effective self-starter with strong track record of successful project execution and the ability to handle multiple, high priority tasks in a fast-paced, diverse corporate environment.
  • Outstanding analytic and organizational skills, including excellent drafting and negotiation skills
  • Sound, practical business judgment; adaptability to manage multiple wide-ranging matters and changing priorities, conflicting deadlines, and new areas of expertise as business needs change.
  • Excellent communication (oral and written) and interpersonal skills; experience communicating with various audiences and levels of management, including senior management.
  • Ability to develop strong relationships with multiple business units and their representatives
  • The ability to work independently or as part of a team.
  • Excellent attention to detail, but able to maintain focus on larger legal/business interests and issues
  • Proficient in Microsoft Word, Excel, Outlook, PowerPoint and other related tools.
