Role
As Corporate Counsel for BitTorrent, you’ll be supporting the company’s commercial transactions and helping to ensure that organization-wide business strategies, policies and programs are developed and applied in full recognition of all legal implications and risks, including the formulation of internal policies to ensure compliance with applicable law.  You’ll advise BitTorrent’s internal customers, manage contract negotiations and execution, and assure protection of company’s intellectual property, business and legal interests within applicable legal constraints.

Specific responsibilities include:

  • Drafting and negotiating a wide variety of contracts, including technology and content licenses, Internet advertising agreements and other strategic agreements, as well as helping to manage day-to-day legal needs. You will also advise clients on the various legal risks, business strategies and other issues related to commercial transactions and general operations. Diligent and proactive, you have demonstrated excellent legal and business judgment and strategic thinking, along with the ability to work independently. Contract drafting, negotiation and advisory responsibilities for various teams. Provide strategic business and legal advice to develop a comprehensive, long-term approach to our relationships with key partners. Administration and resolution of legal issues that arise in existing commercial relationships
  • Work with internal account owners to manage legal aspects of existing contractual relationships and oversee contractual compliance issues as they arise
  • Develop, gain approval for, promulgate and enforce appropriate company policies and processes to ensure BitTorrent’s compliance with laws and regulations applicable to its business
  • Management and protection of legal and intellectual property interests

Preferred Experience
Ideal candidates will posses a strong combination of the following experience:

  • JD from an ABA accredited law school and at least 7 years professional experience as a lawyer with extensive experience in international and domestic contract negotiation and drafting, and international and domestic corporate compliance
  • Demonstrated experience advising clients in structuring complex commercial technology-related transactions.  Extensive background in drafting and negotiating high-tech commercial transactions, including but not limited to, consulting and services agreements, online advertising agreements and other software licensing agreements. Experience working in a cross-department, cross-functional role
  • Must have 5-7 years of technology transactions experience at both a law firm and in a corporate legal department
  • Understanding import of intellectual property (copyright, trade secret, trademark and patent) issues in the context of commercial transactions is required
  • Experience creating and supporting legal processes and internal controls (experience at a reputable public technology company highly desirable)
  • Familiarity with privacy, data protection and software security issues desirable
  • Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure.
  • Excellent oral, written, and interpersonal skills
  • Demonstrated ability to work collaboratively with all employees and other key stakeholders
  • Admission to the California Bar
