We're looking for a talented Corporate Counsel with significant tech transactional experience to provide best-in-class legal support to our technology and marketing teams while partnering closely with the Sourcing team as the primary attorney responsible for inbound technology and marketing transactions worldwide. The successful candidate will join the salesforce.com Corporate Legal team and will be based in our San Francisco office.

 

Responsibilities:

  • -- Draft, review, negotiate and manage a wide variety of software licenses and SaaS and IaaS agreements, as well as professional services/development, hardware purchasing/leasing, telecommunications, online advertising and event agreements
  • -- Efficiently manage risk and ensure business and compliance needs are accurately reflected in agreements
  • -- Team with other in-house attorneys, and efficiently leverage outside counsel as necessary
  • -- Create template agreements and develop legal processes that scale globally

 

Required Skills/Experience:

  • -- Strong academic credentials and admission to one state bar, preferably California
  • -- 5-10 years' relevant experience, with 4+ years of legal experience as a transactional legal counsel working with multi-national public companies and start-ups
  • -- Experience structuring, drafting and negotiating complex commercial agreements, including software licenses and SaaS agreements
  • -- Sound judgment, creativity, and the ability to think strategically and give practical advice appropriately weighing legal and business objectives
  • -- Excellent communicator (in English) with the ability to build relationships and influence stakeholders at all levels and varying functions across the company
  • -- Self-starter and ability to work with limited direction
  • -- Detail oriented with excellent organizational skills and the ability to manage multiple transactions and competing priorities in a fast-paced, fluid, and deadline-driven environment
  • -- Deal focused with a sense of urgency to get things done
  • -- Intellectual curiosity and interest in the technology industry
  • -- Entrepreneurial mindset with willingness to take on special projects

 

Desired Skills:

  • -- Knowledge and experience in relation to commercial law, software and web services, general IP and technology licensing matters, antitrust, marketing, advertising, data security, and compliance
  • -- Experience advising on direct procurement transactions
  • -- Knowledge of privacy law desirable
  • -- Sense of humor
